This public offer (the "Terms") governs the use of the ProTutors tutor marketplace (the "Platform") available at protutors.school and its sub-domains. By registering or using the Platform you accept these Terms in full.

1. Subject matter

1.1. These Terms establish the rules of interaction between the Platform, clients (students) and specialists (tutors).

1.2. The Platform provides clients with a tool to find tutors and provides specialists with a tool to present their services, manage orders and communicate with students.

1.3. The agreement for educational services is concluded directly between the client and the specialist. The Platform acts solely as an information intermediary.

2. Roles and parties

Client โ€” an individual registered on the Platform with the "client" role (student, parent or other person ordering tutoring services).

Specialist โ€” an individual or sole trader registered on the Platform with the "specialist" role offering tutoring services.

3. Platform status โ€” information intermediary

3.1. ProTutors acts as an information intermediary. The Platform is not a party to the tutoring services agreement between the client and the specialist.

3.2. The Platform is not liable for the content, quality and results of services rendered by a specialist to a client, unless expressly provided in these Terms.

3.3. The Platform does not guarantee employment to specialists nor any specific educational outcomes to clients.

4. Client rights and obligations

4.1. The client may:

  • search for specialists by filters (subject, price, rating);
  • leave reviews after completing an order;
  • add specialists to favourites;
  • create orders and communicate via the built-in messenger.

4.2. The client must:

  • provide accurate data upon registration;
  • not use the Platform for unlawful purposes;
  • maintain respectful communication;
  • pay for the specialist's services according to the agreed terms.

5. Specialist rights and obligations

5.1. The specialist may:

  • set their own rates and lesson format independently;
  • decline an order for legitimate reasons;
  • manage their profile, schedule and availability.

5.2. The specialist must:

  • provide accurate information about education, experience and qualifications;
  • respond to client enquiries in a timely manner;
  • honour commitments to clients regarding timing and lesson conditions;
  • independently fulfil their tax obligations on income from tutoring.

6. ProTutors rights and obligations

6.1. ProTutors may:

  • moderate and remove content that violates these Terms;
  • suspend or delete user accounts in case of violations;
  • modify Platform functionality without prior notice.

6.2. ProTutors must:

  • ensure Platform availability within reasonable technical limits;
  • process personal data in accordance with the Privacy Policy;
  • notify users of changes to the Terms as set out in section 9.

7. Intellectual property

7.1. All rights to the Platform's design, source code, logos and other objects belong to ProTutors or its licensors.

7.2. By posting materials (texts, photos, descriptions) on the Platform, a specialist grants ProTutors a free non-exclusive licence to use them for the purposes of operating and promoting the Platform.

7.3. Users may not copy, reproduce or distribute Platform materials without ProTutors's written consent.

8. Liability

8.1. The Platform is provided "as is". ProTutors is not liable for service interruptions caused by technical issues, third-party actions or force majeure.

8.2. ProTutors's total liability to a user is limited to the commissions actually paid by that user to ProTutors in the 12 months preceding the event giving rise to the claim (but not more than [AMOUNT: fill in]).

8.3. ProTutors is not liable for direct or indirect losses, including lost profits, to the extent they exceed the limitation in clause 8.2.

9. Changes to the terms

9.1. ProTutors may amend these Terms unilaterally. The updated version takes effect from the date of publication on the website.

9.2. Users will be notified of changes by email and/or via an in-Platform notice at least 10 (ten) days before the changes take effect โ€” where the changes materially affect user rights.

9.3. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms.

10. Governing law

10.1. These Terms are governed by the laws of the Russian Federation.

10.2. All disputes shall be resolved by negotiation, and failing that, by the courts at the location of ProTutors.
